normal style='text-indent:24.0pt;line-height:150%'>为充分发挥资本市场融资功能，盘活存量资产，优化资债结构，招标人拟开展权益并表型类REITs项目，发行规模预计不超过20亿元，发行期限预计3+n年期（以最终发行方案为准），现拟聘用计划管理人及销售机构提供相关服务。

normal style='text-indent:24.0pt;line-height:150%'>拟选聘类REITs资产证券化项目计划管理人1名，计划管理人同时作为本项目的销售机构。具体工作内容如下：
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（1）融资咨询服务：对甲方发行资产支持证券提出切实可行的发行方案，包括资产筛选、交易结构、确定基础资产规模及现金流、增信措施、财务影响等，优化甲方资债结构，降低发行综合成本；协助甲方分析本项目所涉及的法律、财务、经营风险，提出对策和建议；协助甲方与其年审会计师沟通类REITs会计处理问题。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（2）选聘中介机构：负责选聘本项目（含存续期）必备中介机构，具体包括且不限于：审计机构、评估机构、评级机构、律师、税务咨询机构、绿色评估机构（如需）等其他项目推进必备机构（原始权益人由招标人指定的主体担任，不需中标人选聘）。其中，审计机构及评估机构应当与招标人或其下属子公司、中标人共同签订三方服务协议。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（3）尽职调查：负责牵头组织各中介机构依法开展尽职调查工作，协调整体工作进度。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（4）申报材料编制、申报及发行服务：负责编制计划说明书及其他资产支持证券发行主管机关要求的必要文件；负责统筹资产支持证券申报工作，包括拟定工作时间表协调律师事务所、信用评级公司、税务咨询机构、审计机构、评估机构及现金流测算机构等中介机构的工作进度等；设计资产支持证券发行方案，包括：发行规模、发行期限、发行方式、发行范围及对象、收益分配方式及风险应对方案等；按照监管规则的要求提交申报资料，并积极沟通监管机构、跟进审核流程、答复审核反馈问题；牵头组织本次资产支持证券的发行等工作，为本次融资寻找合格投资者。
normal align=left style='text-align:left;text-indent:24.0pt; line-height:150%'>（5）存续期服务：提醒甲方及相关方按时归集资金、分配收益，并按规定对有关情况及时进行信息披露；除定期的相关信息披露外，在存续期内协助甲方及相关方就影响本期资产支持证券的外部因素、不可抗力及发行人自身因素引起的重大变化或重大事项，根据计划说明书的约定及时进行信息披露；负责组织中介机构开展跟踪评估、评级、绿色评估工作（如需）；根据项目需要，负责组织开展专项计划到期清算、赎回、转售等工作；根据专项计划文件约定需履行存续期管理责任的其他事项。

normal style='text-indent:12.0pt;line-height:150%'>5.1 具有独立的法人资格或其他组织，且具有独立订立合同的资格，具有经中国证券监督管理委员会核准的具有证券资产管理业务资格的批复文件或由中国证券监督管理委员会颁发的经营证券期货业务许可证(证券期货业务范围须体现“证券资产管理”)（证明文件：提供相关资质证书副本的复印件，以证明报价人具有承担本项目要求的资质并加盖投标人公章或电子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.2 近十年至少做过一单类REITs资产证券化相关服务（证明文件：提供业绩证明资料（合同/协议书封面页、标的页、签章页等并加盖公章或电子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.3 没有处于被责令停业，财产被接管、冻结，破产状态（提供承诺函或其他相关证明文件并加盖公章或电子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.4 经营状况良好并具有良好的商业信誉；未被“信用中国”网站(www.creditchina.gov.cn)"列入失信被执行人、异常经营名录的（提供承诺函或其他相关证明文件并加盖公章或电子章）；
normal style='text-indent:12.0pt;line-height:150%'>5.5 近36个月内不存在骗取中标、严重违约及因自身的责任而使任何合同被解除的情形（提供承诺函或其他相关证明文件并加盖公章或电子章） ；
normal style='text-indent:12.0pt;line-height:150%'>5.6 法定代表人为同一人或者存在控股、管理关系的不同单位不得在同一标段投标；
normal style='text-indent:12.0pt;line-height:150%'>5.7 本项目不接受联合体投标。

normal style='text-indent:24.1pt;line-height:21.6pt;background: white'>1）平台注册、CA办理：投标人在购买招标文件前须在深圳能源集团电子招标投标平台完成注册登记并审核通过，投标人要为注册登记预留足够的时间，由于投标人自身原因，截至招标文件发售时间尚未完成注册登记审核，造成无法及时进行标书购买，后果由投标人自行承担。投标人须在下载招标文件前完成数字证书（CA）的办理，绑定CA后方可下载招标文件。投标人要为办理CA预留足够的时间，由于投标人自身原因造成无法投标的，由投标人承担责任。

normal style='text-indent:24.1pt;line-height:21.6pt;background: white'>3）招标文件澄清质疑：招标文件的质疑发出后请通过邮件或者电话方式通知招标代理，须同时提供可编辑版和盖章版。澄清回复将在“深能招标平台”线上发布。
normal style='text-indent:24.1pt;line-height:21.6pt;background: white'>4）保证金：如投标保证金以电汇形式提交，请汇款后在深能招标平台-项目管理-缴费支付功能进行费用绑定。如投标保证金以保函形式提交，请在深能招标平台-项目管理-缴费支付功能上传保函扫描件并提前邮寄投标保函正本，确保招标代理在截标前签收。以电汇形式提交的保证金，默认原账号退回。
